Overview

The Initial Public Offering (IPO) process represents a significant milestone in any company's growth journey, offering access to public capital markets and enhanced corporate visibility. This ½ day workshop provides a comprehensive yet accessible introduction to the IPO landscape in Singapore and aims to equip learners with the foundational knowledge needed to evaluate and navigate the IPO process with confidence.

Participants will gain practical insights into the regulatory framework, listing requirements and considerations involved in taking a company public on the Singapore Exchange (SGX), as well as recent equity market reforms in Singapore.

During this ½ day session, participants will be guided on the following :

The key stages and considerations involved in pursuing an IPO in Singapore

The workshop begins with an introduction to the Singapore capital markets ecosystem, including an overview of the main SGX Mainboard and Catalist listing platforms and the principal differences between them. Participants will then explore the regulatory and legal framework governing IPOs, including listing criteria and the relevant requirements under the Securities and Futures Act 2001 of Singapore and the SGX Listing Rules.

The workshop proceeds to examine the typical IPO process and timeline and the roles of the various professional parties involved in an IPO transaction, including issue managers, underwriters, legal counsel, and auditors. Practical topics such as corporate restructuring and pre-IPO readiness, prospectus drafting and disclosure obligations, board composition and due diligence processes will also be addressed. The session concludes with a discussion of post-listing compliance obligations and ongoing corporate governance expectations for listed companies.

At the end of the workshop, participants would be able to:

  • distinguish between the SGX Mainboard and Catalist listing platforms and identify which is most appropriate for a given company's profile and objectives

  • understand the key regulatory requirements and listing criteria applicable to IPOs in Singapore, including quantitative and qualitative admission standards

  • gain an appreciation of the typical IPO process and timeline, as well as the roles and responsibilities of the various professional parties involved in an IPO transaction

  • gain an appreciation of recent equity market reforms in Singapore

  • understand the ongoing obligations and corporate governance standards expected of SGX-listed companies
