Overview
In a market where speed, innovation and capital efficiency are paramount, well-structured joint ventures (JVs) offer a flexible route to scale, enter new markets, share risk, and access capabilities without full acquisitions. Yet, the very features that make JVs attractive—shared control, interdependence, and long horizons—also create legal and operational complexity. Securing a robust JV requires rigorous partner vetting, clear alignment on strategy and governance, thoughtful allocation of risk and value, and disciplined implementation.
This ½ day workshop provides a practical, end-to-end framework for evaluating, structuring and securing joint ventures. We will examine the lifecycle from strategic assessment and partner diligence to term sheet design, documentation, regulatory approvals and operationalisation, emphasising risk mitigation and enforceability throughout.
Event Detail
During this ½ day session, participants will be guided on the following :
1. Initial JV Strategy and Structuring: Defining the business case and fit-for-purpose structures, weighing onshore vs. offshore vehicles, minority vs. 50/50 vs. majority positions, shared services and carve-outs, and alignment with competition/foreign investment constraints
2. Due Diligence Process: Understanding the JV due diligence process
3. Key JV Terms: Reviewing critical terms, such as capital contributions and funding mechanics, governance and decision rights, transfer restrictions, dispute resolution and exit
4. Competition Law Implications: Assessing whether the JVA may raise concerns under section 34 (anti-competitive agreements) and/or section 54 (merger control) of the Singapore Competition Act, and whether notification to the Competition and Consumer Commission of Singapore (CCCS) is necessary or advisable
5. Post-Signing Operationalisation: Translating the JV agreement into an operational manual, onboarding talent and secondments, integrating systems and IP, and planning for periodic strategic reviews
