During this ½ day session, participants will be guided on the following :
- Initial Deal Structuring: Exploring key considerations like share vs. asset sales, merger controls, and other regulatory considerations which affect an M&A transaction, including competition risks
- Due Diligence Process: Understanding the M&A due diligence process
- Key M&A Terms: Reviewing critical terms, such as consideration, conditions precedent (such as approvals and merger control and process), warranties and disclosures, and indemnities
- Post-Completion Integration: Discussing the importance of post-completion integration to unlock the true value of an M&A transaction
